These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GrnEdge LLC ("GrnEdge," "we," "us," or "our"), governing your access to and use of the CRM Plumber website, application, and related digital services (collectively, the "Platform"). Please read these Terms carefully before using the Platform.
By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.
1. Description of Service
CRM Plumber is a software-as-a-service (SaaS) platform designed to help users audit, clean, and consolidate customer relationship management (CRM) data. The Platform provides the following core features:
- Data Auditing and Deduplication — Upload CSV files containing CRM data (Contacts, Accounts, or Properties) and identify duplicate records using fuzzy matching and similarity analysis.
- Email Validation — Validate email addresses in your uploaded data through a third-party email validation service.
- AI-Assisted Merging — Receive AI-generated suggestions for merging duplicate records, powered by third-party artificial intelligence services.
- Manual Review and Bulk Merging — Review duplicate groups and merge records manually or in bulk.
- Data Export — Export your cleaned, consolidated data back to CSV format.
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.
2. Account Registration and Responsibilities
- You must provide a valid email address and create a password to register for an account.
- You must verify your email address before you can access the Platform.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree to notify us immediately at legal@grnedge.com if you become aware of any unauthorized use of your account.
- You must be at least 18 years of age to create an account and use the Platform.
- You may not create more than one account per individual or share your account with others.
3. Credits and Payments
The Platform operates on a credit-based system. Certain features, including data audits and email validations, require credits to use.
- Purchasing Credits — Credits may be purchased through the Platform. All payments are processed by Stripe, a third-party payment processor. By making a purchase, you also agree to Stripe's Terms of Service.
- Credit Usage — Credits are consumed when you initiate specific actions on the Platform (e.g., running an audit or validating emails). Once an action is initiated, the associated credits are deducted and are non-refundable, regardless of the outcome.
- No Refunds — All credit purchases are final and non-refundable, except where required by applicable law. If you believe a charge was made in error, contact us at legal@grnedge.com within 30 days of the transaction.
- Pricing Changes — We reserve the right to change credit pricing at any time. Price changes will not affect credits already purchased.
4. User Data and Uploaded Content
- Ownership — You retain all ownership rights to the data you upload to the Platform ("User Data"). We do not claim ownership of your User Data.
- License to Process — By uploading User Data, you grant GrnEdge a limited, non-exclusive, revocable license to process, store, and transmit your User Data solely for the purpose of providing the Platform's services to you.
- Your Responsibilities — You represent and warrant that you have all necessary rights, consents, and permissions to upload and process the User Data through the Platform. You are solely responsible for the accuracy, legality, and appropriateness of your User Data.
- Data Retention — Uploaded data and session data are retained temporarily during your active use of the Platform. We do not retain your uploaded CSV data beyond what is necessary for service delivery. For full details, see our Privacy Policy.
- No Sensitive Data — You agree not to upload data that contains Social Security numbers, financial account numbers, protected health information, or other categories of sensitive personal data, unless you have the legal authority and appropriate safeguards to do so.
5. AI-Assisted Features
The Platform uses third-party artificial intelligence services to provide merge suggestions and data analysis. By using these features, you acknowledge and agree that:
- AI-generated outputs (including merge suggestions and data analysis) may be incomplete, inaccurate, or contain errors.
- You are solely responsible for reviewing, verifying, and approving all AI-generated suggestions before accepting them.
- GrnEdge is not liable for any loss, damage, or inaccuracy resulting from your reliance on AI-generated outputs.
- Your data may be processed by third-party AI service providers in accordance with their respective data processing terms. We do not use your data to train public AI models.
6. Email Validation
The Platform offers email validation through a third-party email validation provider. By using this feature, you acknowledge that:
- Validation results are provided on an "as-is" basis and may not be 100% accurate.
- Validation results are cached for up to 90 days to improve performance and reduce costs.
- Email addresses you submit for validation may be transmitted to our third-party validation provider.
- You are responsible for ensuring you have the right to validate the email addresses you submit.
7. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable local, state, national, or international law or regulation.
- Upload, transmit, or process data that you do not have the right to use or that infringes on the rights of others.
- Attempt to gain unauthorized access to the Platform, other users' accounts, or our systems and networks.
- Interfere with or disrupt the Platform's infrastructure, security, or performance.
- Use the Platform for spamming, phishing, or any form of unsolicited communication.
- Reverse engineer, decompile, or disassemble any aspect of the Platform.
- Use automated tools (bots, scrapers, etc.) to access or interact with the Platform without our prior written consent.
- Resell, sublicense, or redistribute access to the Platform or its features without our prior written consent.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use terms.
8. Intellectual Property
The Platform, including its design, code, features, documentation, branding, logos, and all related intellectual property, is owned by GrnEdge LLC and is protected by applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.
- You may not copy, modify, distribute, or create derivative works based on the Platform or its content without our prior written consent.
- All trademarks, service marks, and trade names displayed on the Platform are the property of their respective owners.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WITHOUT LIMITING THE FOREGOING, GRNEDGE DOES NOT WARRANT THAT:
- The Platform will be uninterrupted, error-free, or secure.
- Any defects or errors will be corrected.
- The results obtained from the use of the Platform (including audit results, deduplication, email validation, and AI-assisted merges) will be accurate or reliable.
- The Platform will meet your specific requirements.
You acknowledge that you use the Platform at your own risk and are solely responsible for any decisions made based on Platform outputs.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRNEDGE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF GRNEDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRNEDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO GRNEDGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless GrnEdge LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Any User Data you upload, process, or transmit through the Platform.
12. Termination
- By You — You may stop using the Platform at any time. To request account deletion, contact us at legal@grnedge.com.
- By Us — We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.
- Effect of Termination — Upon termination, your right to access the Platform ceases immediately. Any unused credits at the time of termination are forfeited and non-refundable. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in the State of Connecticut. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Platform.
Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and GrnEdge LLC with respect to the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
